Individual entrepreneur Zhorin Denis Vladimirovich (TIN 502 712 691 732), hereinafter referred to as
the Seller, acting on his own behalf, addresses this Offer Agreement (hereinafter referred to as the
Offer Agreement, Agreement) to any person (an indefinite number of persons) whose will will be
expressed by him personally or through an authorized representative (Articles 182, 185 of the Civil
Code of the Russian Federation), who has expressed his readiness to purchase Digital Goods
(hereinafter referred to as the Buyer).

TERMS AND DEFINITIONS USED IN THIS OFFER AGREEMENT:
Acceptance is the person’s response to the full and unconditional acceptance of the offer by placing
and paying for the Order in the manner and under the conditions established by this Offer Agreement.
Digital product (product) — goods sold on the Seller’s website, provided in the form of articles, ebooks,
manuals, brochures or in any other forms, such as through various online services, email,
messengers or other methods, including mailings information and materials, provision of materials in
records provided both directly by the Seller and with the help of third parties. The list, regulations and
conditions for the sale of Digital Goods are indicated on the relevant Website describing the goods
and/or in this Offer Agreement.
Materials are a set of digital goods developed by the Seller for the purpose of transmitting programdefined
information to the Buyer. The list, regulations and conditions for the sale of Materials are
indicated on the Site and/or in this Offer Agreement.
Buyer — an individual or legal entity or individual entrepreneur who has paid for the Materials and
receives them under the terms of this Offer Agreement.
Order — the intention of the potential Buyer to purchase the relevant Material at the price chosen by
him, posted on the Seller’s website at: versonica.com/ and subdomains and/or in Appendix No.
1 to this Offer Agreement.
Website is a collection of information, texts, graphic elements, design, images, photos and videos, and
other results of intellectual activity, as well as computer programs contained in an information system
that ensures the availability of such information on the Internet at a network address
https://versonica.com/ and subdomains .
Software — Internet browser (InternetExplorer, FireFox, GoogleChrome and/or similar) for accessing
information resources located on the Internet, other programs for transmitting, storing, processing the
information provided. The Buyer undertakes to independently ensure the availability of the software
necessary to receive the Seller’s goods on his personal computer or any other device, as well as the
availability and ability to use the Site, as well as his personal account, Telegram messenger, and
email.
Registration on the site is the process of creating a personal account on the Site by the Site user.
A personal account is a personal page on the Site, access to which is available only to one person (the
Site user).
Newsletter — automated sending of emails to the Buyer’s email address (e- mail).

1. GENERAL PROVISIONS AND LEGAL BASIS OF THE AGREEMENT OFFER
1.1. The offer agreement is the Seller’s official proposal (offer) to conclude an agreement for the
purchase and sale of Digital Goods (hereinafter referred to as Digital Goods) and contains all the
essential terms of the purchase and sale agreement (hereinafter referred to as the Agreement).
1.2. Acceptance of the Offer Agreement is the implementation of the following actions: payment for the
Seller’s Materials in accordance with its current prices.
1.3. By accepting the Offer Agreement in the manner specified in clause 1.2. of the Offer Agreement,
the Buyer guarantees that he has read, agrees, fully and unconditionally accepts all the terms of the
Agreement as they are set out in the text of the Offer Agreement.
1.4. The Buyer understands that acceptance of the Offer Agreement in the manner specified in clause
1.2. An offer agreement is equivalent to concluding an Agreement on the terms set out in the offer
agreement in accordance with clause 3 of Article 438 of the Civil Code of the Russian Federation.
1.5. By accepting the Offer Agreement, the Buyer confirms that he is an adult and has legal capacity
to enter into a contractual relationship with the Seller.
1.6. The Seller has the right to make changes to the terms of the Offer Agreement at any time. Changes
to the terms of the Offer Agreement begin to take effect from the moment the corresponding version of
the Offer Agreement is published on the Seller’s Website. The Buyer undertakes to independently
monitor the current version of the Offer Agreement on the Seller’s Website.
1.7. The offer agreement cannot be revoked.
1.8. The offer agreement does not require sealing and/or signing by the Buyers by the Seller, while
maintaining legal force.
1.9. By accepting this offer, the Buyer confirms that he has access to the Internet and has the ability to
receive Materials in online format.
1.10. The Buyer undertakes to carefully read the text of this offer and, if he does not agree with any
point, the Seller offers to refuse any actions necessary for acceptance or to enter into a personal
agreement on terms separately discussed with the Seller.

2. SUBJECT OF THE AGREEMENT
2.1. The subject of this Offer is the paid provision to the Buyer of access to Materials at a price chosen
by the Buyer and on a topic chosen by the Buyer, which the Buyer undertakes to accept and pay for in
the manner provided for in this Agreement.
2.2. The list of Materials to which the Buyer can purchase access is indicated on the Site and/or in this
Offer Agreement. The list of topics included in the Materials is indicated in Appendix No. 1 to this Offer
Agreement.

3. DURATION OF THE AGREEMENT
3.1. The Agreement is considered concluded from the moment the Buyer’s funds are received as
payment for access to the selected Material to the Seller’s bank account, and is valid until the Parties
fulfill their obligations.

4. TERMS AND CONDITIONS OF SALE
General terms and Conditions:
4.1. The Buyer has no right to transfer to third parties his access to Materials/Digital Products provided
by the Seller. If this clause of this agreement is violated, the Seller has the right to deny the Buyer
access to the Materials/Digital Products without returning previously paid funds, if the funds were paid
by the Buyer.
4.2. The Buyer agrees that the Seller provides access to the Materials as is, and does not have the
right to require additional modification of the products, as well as its individual components, as well as
changes in the rules for the provision of goods or access to products described by the provisions of
this Agreement.
4.3. The Seller has the right not to transfer access to materials in cases of violation by the Buyer of its
obligations under this Agreement, namely: incomplete (inadequate, untimely) payment, reporting of
incomplete (inaccurate) information, failure to provide (late submission) of registration or other data
necessary to receive the Materials, Violations of the rules of conduct in chat.
4.4. The Seller undertakes to take all necessary measures, but does not guarantee 100% uninterrupted
transfer of goods under this Agreement. In the event of unsatisfactory quality of the Internet connection
on the part of the Buyer, the presence of technical problems in the devices or software used by him to
transfer goods, technical problems on the part of payment services posted on the Seller’s Website, the
date/terms for providing access to the Materials may be changed by the Seller in unilaterally without
agreement with the Buyer.
4.5. The Buyer undertakes to strictly and unconditionally comply with the following Rules:
• observe discipline and generally accepted standards of behavior, in particular, show respect for
the Seller and its representatives;
• do not allow aggressive behavior, do not interfere with the Seller, the Seller’s representative (s)
providing access to the Materials to other Buyers;
• do not allow behavior aimed at inciting racial, national, religious or social hatred, as well as
humiliating human and/or national dignity;
• not to use information received from the Seller in ways that could lead or will lead to damage to
the interests of the Seller;
• not to use the Materials provided by the Seller for the purpose of making a profit by duplicating
them and reproducing them multiple times (publications in the press and other publications,
public speaking, etc.) and in other ways;
• do not distribute in any way, including. to third parties, do not copy, save, post, publish in public,
closed, open sources for any circle of persons (including for your own use) provided by the
Seller: information, materials, manuals, and also do not provide access data to the Buyer’s
personal account to third parties;
• do not use profanity, do not use expressions in communication that may offend the Seller or the
Seller’s representative.
4.6. The Seller is not responsible for how the Buyer used the information received, as well as for
achieving any results associated with the practical application of this information. Any
recommendations obtained from the Seller Materials are taken at the Buyer’s own risk.
4.7. The Buyer understands and agrees that in the course of gaining access to materials or to begin
receiving it, the Buyer must: have the software necessary to receive the Seller’s goods on his personal
computer or any other device, as well as the availability and ability to use the Site, and also personal
account, Telegram messenger (Telegram), email.
4.8. The Buyer makes the payment amount specified and recorded on the Site and/or in Appendix No.
1 to this Offer Agreement, after which the Seller transfers to the Buyer access to Materials/Digital
Goods, subject to the Buyer registering a personal account on the Site. Access to the Materials/Goods
selected by the Buyer is transferred no later than 3 (three) business days from the date of receipt of
payment to the Seller’s bank account and registration of the personal account.
4.9. When registering on the Site, the Buyer undertakes to use the email registered exclusively to him,
which is checked regularly (at least once every 24 hours) by the Buyer, and an application for receiving
mail, which has the ability to update the information sent to them at least once a minute.
4.10. Material/product is considered transferred at the moment access to such Material/product is
provided.
4.11. This Agreement is an act of acceptance and transfer of Material.
4.12. Access to the Materials is retained by the Buyer for the period specified on the Site and/or in
Appendix No. 1 to this Offer Agreement.
4.13. If the Material provides access to the Seller’s private Telegram channel, such access is provided
free of charge.

5. COST OF GOODS AND PAYMENT PROCEDURE
5.1. The total cost is calculated from the cost of the Digital Goods/Materials selected by the Buyer in
accordance with the prices indicated on the Seller’s Website and/or in Appendix No. 1 to this Offer
Agreement.
5.2. The paid price of goods can only be changed by signing an additional agreement to the Agreement.
5.3. Payment for goods under the Agreement is carried out in the order of 100 (One Hundred) —
percentage advance payment, unless otherwise indicated on the Seller’s Website or a different
procedure is provided for by the terms of this Offer Agreement. Payment is made by transferring funds
to the details specified by the Seller, or using electronic payment systems specified by the Seller and
posted on the Seller’s Website. The goods are considered paid for from the moment the funds are
received in the Seller’s bank account.

6. INTELLECTUAL RIGHTS
6.1. Digital goods and all Materials sold by the Seller and provided to the Buyer are the results of the
intellectual activity of the Seller, the exclusive rights to which belong to the Seller.
6.2. Any copying, saving, posting, publishing, etc. Materials on personal computers, electronic devices,
servers, websites, video hosting sites, electronic and Internet resources, providing access data to
your personal account, or otherwise providing the Seller’s Materials to third parties is strictly prohibited.
Establishment of these facts entails blocking your personal account and blocking access to Materials
without a refund.
6.3. The Buyer has no right to use the Materials provided by the Seller for the purpose of making a
profit by duplicating them and reproducing them multiple times (publications in the press and other
publications, public speaking, etc.) and in other ways.
6.4. The buyer has no right to distribute in any way, including. to third parties, not to copy, save, post,
publish in public, closed, open sources for any circle of persons (including for their own use) the
Materials provided by the Seller.
6.5. Information and Materials transferred under this Agreement are the intellectual property of the
Seller and are subject to protection in accordance with the legislation of the Russian Federation.
Dissemination of the received information for commercial purposes is unacceptable. The Buyer
undertakes not to copy records of the Materials and not provide them to third parties, not to post them
publicly on other sites. The Buyer is prohibited from distributing, publishing, posting on the Internet,
copying, transferring or selling to third parties, recording, downloading, taking screenshots and
photographs provided under this Agreement.
6.6. Use of the results of intellectual activity without the written consent of the Seller is a violation of
the intellectual rights of the Seller. Performing the actions specified in this section and other actions
that violate the exclusive right of the Seller entails liability under the Agreement, as well as liability
under the current legislation of the Russian Federation (civil, administrative, criminal).

7. TERMS OF REFUND
7.1. If the Buyer refuses the Agreement, the Seller returns the funds to him in the amount established
by the Agreement, determined on the date of receipt of the Buyer’s application for a refund.
7.2. The application for a refund is accepted by the Seller only if access to the Materials / Digital Goods
has not yet been received by the Buyer. The buyer gets access to the materials automatically within
10 seconds after payment. If access to Materials/Digital Goods is obtained, no refund will be provided.
7.3. Refunds by the Seller are carried out upon the Buyer’s application sent to the email address:
ecworld.sup@gmail.com no later than 10 (Ten) calendar days from the date of receipt of the relevant
application.
7.4. The application for a refund must contain your full name, email address, as well as the order
number and date. If any of the specified information is missing, the Seller has the right not to accept
the application for consideration until the shortcomings are eliminated. If necessary, the Seller has the
right to request from the Buyer the bank details from which the Buyer made the payment.
7.5. Refunds are subject to full payment to the Seller of actual expenses incurred.
7.6. The funds are returned to the same bank account of the Buyer from which payment for the goods
was made. Funds paid by the Buyer using a bank card cannot be returned in cash.
7.7. In accordance with clause 14 of the "List of non-food products of good quality that are not subject
to exchange," materials in the format of PDF files, video, audio recordings, as well as those reproduced
on other technical media, provided by the Seller to the Buyer at a time, are not subject to return. In
other words, the Seller does not make a refund if the materials have already been received by the
Buyer / he has gained access to them.
7.8. The actual costs of the Seller include (including, but not limited to) commissions of banking, credit
organizations and relevant payment systems for the return of funds, monetary remuneration of third
parties involved in the development of Materials, the cost of Materials provided to the Buyer, the cost
of which is determined by the Seller independently, even if the Buyer has not used the Materials and
(or) has not become familiar with them (if any), subject to the availability of such a possibility.

8. RESPONSIBILITY OF THE PARTIES. PROCEDURE FOR TERMINATION OF THE AGREEMENT
8.1. The parties are responsible for failure to fulfill or improper fulfillment of their obligations under the
Agreement in accordance with the Agreement and the legislation of Russia.
8.2. The Parties acknowledge that if any of the provisions becomes invalid during the term of its validity
due to changes in legislation, the remaining provisions of the Agreement are binding on the Parties
during the term of the Agreement.
8.3. The Seller is not responsible for non-transfer / untimely transfer of Digital Goods if improper
performance was a consequence of unreliability, insufficiency or untimeliness of the information
provided by the Buyer, as well as due to other violations of the terms of this Agreement by the Buyer.
8.4. The Seller is not responsible for the non-conformity of the goods to the Buyer’s expectations and/or
for their subjective assessment. Such a discrepancy with expectations and/or a negative subjective
assessment are not grounds to consider the product to be of poor quality.
8.5. The Seller is not responsible for incorrect (unreliable) information provided by the Buyer during
registration or when paying for goods.
8.6. The Seller is not responsible for the inability to service the Buyer for reasons related to disruption
of the Internet channel, equipment or software by the Buyer.
8.7. The Buyer is responsible for the inconsistency of the information he provided during registration
and is aware of the risk of adverse consequences associated with its incorrect indication. The Seller
does not verify the accuracy of the data provided by the Buyer.
8.8. The Seller is not responsible for the Buyer’s loss of access to his personal account/Materials.
8.9. If it is established that the Buyer is a participant and/or distributor of Materials/goods to third
parties, the Buyer will be obliged to pay the Seller a fine in the amount of 1,000,000 (one million)
rubles 00 kopecks, as well as compensate for other losses of the Seller, including lost profits.

9. DISPUTE RESOLUTION
9.1. All disputes and disagreements under the Agreement are resolved by the Parties through
negotiations.
9.2. Claims arising in connection with the Agreement shall be sent by the Parties to each other by
email.
9.3. Claims of a Party that cannot be identified based on the data provided (including anonymous
claims) will not be considered.
9.4. The period for consideration of a written claim is 10 (Ten) calendar days from the date of its receipt,
unless a shorter period is provided for by this Agreement or the current legislation of the Russian
Federation. If a claim is received, the Party sends a reasoned response to the other Party.
9.5. If no agreement is reached between the Parties, all disputes will be considered in court at the
location of the Seller.
9.6. The Parties are released from liability for complete or partial failure to fulfill obligations under the
Agreement if the failure to fulfill obligations was the result of force majeure, namely: fire, flood,
earthquake, strike, war, actions of government authorities or other circumstances beyond the control
of the Parties.

10. PROCESSING OF PERSONAL DATA
10.1. In accordance with the requirements of Federal Law No. 152 of July 27, 2006 — Federal Law "On
Personal Data", the Buyer (personal data subject), accepting the terms of this Offer Agreement,
consents to the processing of all his personal data provided to the Seller, as well as to their transfer
persons with whom the Seller has a contractual relationship to fulfill the terms of this Offer Agreement.
The processing of the Buyer’s personal data is carried out in accordance with the legislation of the
Russian Federation, as well as in accordance with the Personal Data Processing Policy, which is a
local document of the Seller.
10.2. All personal data is processed by the Seller in accordance with the requirements of Federal Law
152-FZ "On Personal Data" and in accordance with the Personal Data Processing Policy posted on the
Website at https://versonica.com/
10.3. The Seller undertakes to preserve and not disclose confidential information that has become
known to it from the Buyer under this Agreement
